1. Introduction

2. Services
GOWI Agency provides web design, digital marketing, and related services. Specific details of the services to be provided will be agreed upon in writing (e.g. via email or proposal document) before work commences.
3. Fees and Payment
- Quotes: All quotes are valid for 30 days from the date of issue.
- Deposits: A non-refundable deposit of 50% is required before any web design work begins. The remaining 50% is due upon completion, before the site goes live.
- Retainers: Monthly marketing retainers (SEO, Ads, Social) are paid in advance via Direct Debit.
- Late Payment: We reserve the right to charge interest on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Client Obligations
You agree to provide us with all necessary information, content (text and images), and access (hosting, domain, social accounts) required to complete the work in a timely manner. Delays in providing this information may result in delays to the project schedule.
5. Intellectual Property
- Client Content: You retain ownership of all content you provide to us. You guarantee that you have the right to use such content and indemnify us against any claims of copyright infringement.
- Work Product: Upon full payment, copyright of the finished website design and HTML/CSS code is transferred to you.
- Tools & Methods: We retain the right to license our background technology, frameworks, and tools to other clients.
6. Limitation of Liability
Our liability to you in relation to the use of our website or under or in connection with these terms and conditions, whether in contract, tort (including negligence) or otherwise, will be limited as follows:
- We will not be liable for any consequential, indirect or special loss or damage.
- We will not be liable for any loss of profit, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities.
- We will not be liable for any loss or corruption of any data, database or software.
Specifically regarding Google Ads and SEO: We cannot guarantee specific rankings or results, as these platforms are third-party systems outside of our direct control.
7. Termination
- Web Design: You may terminate the project at any time, but any deposit paid is non-refundable. If work has exceeded the value of the deposit, you will be liable for the difference.
- Monthly Services: Marketing retainers operate on a rolling 30-day basis. You must provide 30 days' written notice to cancel.
8. Governing Law
These terms and conditions shall be governed by and construed in accordance with English law. Any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England.
